Novel Technologies Ltd. (“Novel Technologies Ltd.,” “we,” or “us”) provides the Novel.page website ("Novel") and any affiliated software and mobile applications (collectively, the “Site”), and other products or services provided by or through the Site (collectively, the “Service” or “Services”) subject to these terms and conditions of use, and all polices and guidelines referenced herein (the “Terms”). By signing up to the Service, or by clicking a button or checking a box marked “I Agree” (or similar wording), you express your understanding and agreement to these Terms of Service ("Agreement"), our Acceptable Use Policy, and the collection and use of your information as detailed in our Privacy Policy. This is applicable whether you are a registered user of our Service or not. Novel is provided and operated under license by Novel Technologies Ltd. ("Company"). The Company is granted a license to offer and manage the Novel platform and its services. This license agreement authorizes the Company to handle all operational aspects of the Service, including user interaction, data management, and service delivery.
These Terms affect your legal rights and obligations, so if you do not agree to be bound by all of these Terms, do not access or use the Service.
1. Changes to the Terms
The Company reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Continued use of the Service after any such changes shall constitute your consent to such changes.
2. Access and Use of the Service
a. Service Description
Novel is designed to offer a suite of tools for professional development, including AI-guided profile creation, portfolio management, and outreach tracking. The Service may evolve over time with additional features and functionalities.
b. Eligibility
You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you meet this age requirement.
c. User Account
To access certain features of the Service, you must register and create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3. User Responsibilities
You are responsible for your use of the Service and any content you provide, including compliance with applicable laws, rules, and regulations. You should only provide content that you are comfortable sharing with others under these Terms.
4. Content and Intellectual Property
a. User Content
Users retain full ownership of the content they submit, post, display, or otherwise make available on the Service. By submitting content, you grant the Company a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods (now known or later developed).
b. Service Content
All rights, title, and interest in and to the Service (excluding User Content) are and will remain the exclusive property of the Owner and its licensors.
5. Prohibited Conduct
You agree not to engage in any of the following prohibited activities: (i) copying, distributing, or disclosing any part of the Service in any medium; (ii) using any automated system, including "robots," "spiders," "offline readers," etc., to access the Service; (iii) transmitting spam, chain letters, or other unsolicited email; (iv) attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service; (v) taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure; (vi) uploading invalid data, viruses, worms, or other software agents through the Service; (vii) collecting or harvesting any personally identifiable information, including account names, from the Service; (viii) using the Service for any commercial solicitation purposes; (ix) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity; (x) interfering with the proper working of the Service; (xi) accessing any content on the Service through any technology or means other than those provided or authorized by the Service; or (xii) bypassing the measures we may use to prevent or restrict access to the Service, including features that prevent or restrict use or copying of any content or enforce limitations on use of the Service or the content therein.
6. Disclaimers
The Service is provided on an "as is" and "as available" basis. The Company and its affiliates, officers, employees, agents, partners, and licensors expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
7. Limitation of Liability
In no event shall the Company, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
8. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of DIFC (Dubai International Financial Center), without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
10. Changes
We value transparency and your continued trust in our Service. Therefore, we have adopted an opt-in policy for any significant changes to these Terms:
- Notification of Changes: If we make changes to these Terms, we will provide a clear, understandable notification. This may include an announcement on our Service interface and an email to your registered address.
